Few CPU cooler comparisons are as confusing as this one because the Phantom Spirit and Peerless Assassin look almost identical, cost similar amounts and come from the same manufacturer.
That is not a coincidence.
The Phantom Spirit is essentially Thermalright’s newer development of the same compact dual-tower formula that made the Peerless Assassin such a strong value.
The important difference is simple: the Phantom Spirit 120 SE uses seven heatpipes while the Peerless Assassin 120 SE uses six.
That can give the Phantom Spirit a small advantage when CPU heat output rises, but it does not suddenly make the Peerless Assassin a bad cooler.

The buying rule
If they cost roughly the same: buy the Phantom Spirit 120 SE.
If the Phantom Spirit costs only a few dollars more: I would still buy the Phantom Spirit.
If the Peerless Assassin is roughly $10 or more cheaper: the Peerless Assassin becomes the better value for most gaming CPUs.
If you already own a Peerless Assassin: keep it. Do not replace a perfectly good cooler for a small thermal gain.

In practice, the cooler that keeps your CPU at the desired temperature with lower fan speed can be the quieter one.

Do not compare manufacturer dBA numbers across different coolers or brands

Do not buy exactly to the case’s paper limit
If your case advertises exactly 154 or 155mm of CPU-cooler clearance, I would not assume the fit is comfortable. Manufacturing tolerances, side-panel geometry and raised front fans can all change the effective installed height.
RAM clearance matters more than the 1mm height difference
Both are large dual-tower coolers that can overhang the DIMM area.
Tall RGB memory is therefore more important to check than the one-millimeter difference between the two heatsinks.
If the front fan interferes with the RAM, you can often raise it.
But doing that increases the cooler’s actual installed height.

For a current Ryzen or Intel desktop build, socket support therefore does not separate these two coolers.
Which one should you use with Ryzen 5?
Either.
For an efficient Ryzen 5 gaming build, the Peerless Assassin already provides much more cooling than a basic single-tower cooler.

Which one should you use with Ryzen 7 and X3D?
I would lean Phantom Spirit 120 SE for a new build.

Which one should you use with Ryzen 9 or a hot Intel CPU?
This is where I would choose the Phantom Spirit.
A hotter processor running long all-core workloads gives the seventh heatpipe and newer design more opportunity to matter.
That does not mean the Peerless Assassin suddenly becomes incapable.
It means that if you are buying both coolers new and the prices are close, choosing the weaker of the two makes less sense when the CPU is the more demanding one.
There are CPUs where neither cooler is the final answer
If you are running sustained very-high-power workloads with aggressive power limits, compare stronger current air coolers and quality 280/360mm liquid coolers rather than assuming either budget dual tower must be the best solution for every processor.
Should you upgrade from a Peerless Assassin to a Phantom Spirit?
No.
This is probably the easiest decision in the entire comparison.
